1. Acceptance of Terms

By accessing, registering for, or using InspectAd AI ("Service", "Platform", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and InspectAd AI. By clicking "I Accept" or by using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

3. Nature of Service — Advisory Tool Only

3.1 Service Description

InspectAd AI is a Software-as-a-Service (SaaS) platform that provides the following advisory services:

• Compliance Analysis: Automated analysis of advertising content against known platform policies
• AI-Powered Suggestions: Artificial intelligence-generated alternative copy and creative suggestions
• Image Processing: Resizing and formatting tools for multi-platform advertising
• Video Analysis: Transcription and content analysis of video advertisements
• Landing Page Analysis: Website compliance checking for advertising campaigns

3.2 No Guarantee of Approval

CRITICAL DISCLAIMER: InspectAd AI is an advisory and guidance tool. We do NOT:

• Guarantee that any advertisement will be approved by any platform
• Guarantee that our analysis is complete, accurate, or up-to-date
• Provide legal advice or legal compliance services
• Act as a substitute for professional legal counsel
• Have any control over platform approval decisions
• Have insider knowledge of platform review processes

Platform policies change frequently and without notice. Our policy database may not reflect the most current policies. Advertising platforms reserve the right to reject any advertisement for any reason, including reasons not covered by published policies.

3.3 Not Legal Advice

InspectAd AI does not provide legal advice. Our Service is not a substitute for consultation with qualified legal professionals. You should consult with an attorney licensed in your jurisdiction for specific legal advice regarding advertising compliance, intellectual property, consumer protection laws, or any other legal matters.

4. AI-Generated Content Disclaimer

4.1 Use of Artificial Intelligence

Our Service uses artificial intelligence (AI) and machine learning models, including but not limited to OpenAI's models and proprietary algorithms. AI-generated content may contain errors, inaccuracies, or inappropriate suggestions.

4.2 AI Limitations

You acknowledge and agree that:

• AI models can "hallucinate" or generate false information
• AI suggestions may not comply with current platform policies
• AI analysis may miss policy violations or flag false positives
• AI models are trained on historical data and may not reflect current standards

4.3 User Verification Required

You must review, verify, and approve all AI-generated content before use. You are solely responsible for ensuring that any content you use complies with all applicable laws, regulations, and platform policies.

4.4 EU AI Act Compliance

In accordance with the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), we inform you that this Service uses AI systems. All AI-generated content is clearly labeled. We maintain documentation of our AI systems as required by law.

5. Eligibility

To use InspectAd AI, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

The Service is designed for business and professional use (advertising professionals, marketers, and agencies). If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

6. User Responsibilities

6.1 Account Security

You agree to:

• Provide accurate, current, and complete information when creating your account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

6.2 Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload content that violates intellectual property rights of others
• Upload content that is defamatory, obscene, threatening, or hateful
• Attempt to circumvent usage limits, security measures, or access controls
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated tools (bots, scrapers) to access the Service without authorization
• Resell, redistribute, or sublicense access to the Service
• Use the Service to spam, phish, or distribute malware

6.3 Final Compliance Responsibility

You are solely responsible for:

• Ensuring your advertisements comply with all applicable platform policies
• Verifying that your advertisements comply with all applicable laws and regulations
• Obtaining all necessary rights, licenses, and permissions for content you use
• Making final decisions about advertisement content and submission
• Monitoring platform policy changes and updating your advertisements accordingly
• Seeking professional legal advice when needed

7. Subscription and Billing

7.1 Free and Paid Tiers

InspectAd AI offers a free tier with limited usage and paid subscription plans (Starter, Pro, Agency) with increased features and usage limits. Current pricing is displayed on our pricing page.

7.2 Billing

Paid subscriptions are billed monthly or annually in advance via Stripe. Payment is due immediately upon subscription or renewal. All prices are displayed inclusive of applicable taxes.

7.3 Price Changes

Prices are subject to change with 30 days' notice. Price changes do not affect existing subscriptions until renewal. We will notify you of price changes by email before your next billing cycle.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

7.5 Usage Limits

Each subscription tier has usage limits (e.g., number of checks per month, AI generations). If you exceed your limits, you may need to upgrade or wait until the next billing cycle.

8. Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason (the "cooling-off period"), in accordance with the EU Consumer Rights Directive (2011/83/EU).

8.1 How to Withdraw

To exercise your right of withdrawal, contact us at contact@inspectad.com with a clear statement of your decision to withdraw. Upon valid withdrawal, we will reimburse all payments received from you within 14 days using the same payment method.

8.2 Exception for Digital Services

If you begin using the Service (e.g., run compliance checks, use AI features) during the cooling-off period, you expressly consent to the performance of the Service beginning before the withdrawal period ends and acknowledge that you lose your right of withdrawal once the Service has been fully performed. This is in accordance with Article 16(a) of Directive 2011/83/EU and Article 38 point 13 of the Polish Consumer Rights Act (Ustawa o prawach konsumenta).

8.3 Proportional Refund

If you withdraw after the Service has been partially performed, you will be charged a proportional amount corresponding to the Service provided up to the point of withdrawal.

9. Intellectual Property

9.1 Your Content

You retain all ownership rights to content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze Your Content to provide the Service
• Display Your Content back to you in the Service interface

This license terminates when you delete Your Content or close your account.

9.2 Our Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is owned by InspectAd AI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property.

9.3 AI-Generated Output

AI-generated suggestions, alternative ad copy, and compliance reports produced by the Service are provided for your use. You may use these outputs in your advertising campaigns. We do not claim ownership of AI-generated outputs created specifically for you.

10. Data Protection and Privacy

10.1 GDPR Compliance

We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and the Polish Act on the Protection of Personal Data. Please review our Privacy Policy for detailed information about how we collect, use, and protect your personal data.

10.2 Data Portability on Termination

Upon account termination, you may request an export of your data in a structured, commonly used, machine-readable format (GDPR Art. 20). Contact us at contact@inspectad.com to request a data export before deleting your account.

10.3 Data After Account Deletion

After you delete your account, we will delete your personal data within 30 days, except for data we are legally required to retain (e.g., billing records for tax purposes, retained for 5 years under Polish law).

11. Limitation of Liability

11.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, InspectAd AI's total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Service shall not exceed the amount you paid to InspectAd AI in the twelve (12) months immediately preceding the event giving rise to the claim, or €100 (one hundred euros), whichever is greater.

11.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, InspectAd AI shall not be liable for:

• Rejected Advertisements: Any advertisements rejected by advertising platforms
• Lost Advertising Spend: Wasted advertising budget or media costs
• Business Interruption: Lost profits, revenue, or business opportunities
• Account Suspensions: Suspension or termination of your advertising accounts
• Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
• Data Loss: Loss of data, content, or work product
• Third-Party Actions: Actions taken by advertising platforms or other third parties

11.3 Mandatory EU Consumer Protections

Nothing in these Terms shall exclude or limit our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Intentional misconduct or gross negligence
• Any liability that cannot be excluded or limited under applicable EU or Polish law

If you are a consumer in the European Union, you have certain statutory rights under the EU Consumer Rights Directive, the Unfair Contract Terms Directive (93/13/EEC), and the Digital Content Directive (2019/770). These Terms do not affect those mandatory statutory rights.

12. Disclaimer of Warranties

12.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of non-infringement
• Warranties of accuracy, reliability, or completeness
• Warranties that the Service will be uninterrupted, secure, or error-free

12.2 No Guarantee of Results

We do not warrant or guarantee that:

• Our analysis will identify all policy violations
• Our suggestions will result in approved advertisements
• Our policy database is complete, accurate, or current
• The Service will meet your specific requirements

12.3 Third-Party Services

The Service relies on third-party services (OpenAI, Supabase, Stripe, etc.). We are not responsible for the availability, accuracy, or performance of these third-party services.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless InspectAd AI from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your advertisements or advertising campaigns
• Any content you upload, submit, or transmit through the Service
• Your violation of any applicable laws or regulations

This indemnification obligation does not apply to EU consumers to the extent it would be considered an unfair contract term under Directive 93/13/EEC.

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the Service interface or by contacting contact@inspectad.com. You may request a data export before deletion (see Section 10.2).

14.2 Termination by Us

We reserve the right to suspend or terminate your account for:

• Material violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees after reasonable notice
• Risk to the security or integrity of the Service

Except in cases of fraud, illegal activity, or immediate security risk, we will provide you with reasonable notice and an opportunity to remedy the violation before termination.

14.3 Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• You will no longer be charged subscription fees (after the current period)
• Your data will be deleted in accordance with our Privacy Policy data retention schedule
• Sections of these Terms that by their nature should survive termination will survive (including Limitation of Liability, Intellectual Property, Indemnification, and Governing Law)

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to your registered email address at least 30 days before changes take effect
• Displaying a prominent notice in the Service interface

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account for a full refund of any prepaid unused subscription period. Continued use of the Service after the effective date constitutes your acceptance of the changes.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the courts of Warsaw, Poland.

EU Consumer Rights: If you are a consumer in the European Union, you may bring proceedings in the courts of the EU country where you reside. Nothing in these Terms affects your rights as a consumer to rely on mandatory provisions of the law of the country where you reside.

16.3 Informal Dispute Resolution

Before filing any legal action, we encourage you to contact us at contact@inspectad.com to attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any disputes.

16.4 EU Online Dispute Resolution

The European Commission provides an online dispute resolution (ODR) platform for consumers at: https://ec.europa.eu/consumers/odr. We are willing to participate in dispute resolution proceedings before a consumer arbitration board.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InspectAd AI regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, government actions, or failures of third-party services.

17.6 Language

These Terms are provided in English. If we provide a translation, the English version shall prevail in case of any conflict or discrepancy.
